TERMS AND CONDITIONS OF SALE
Article 1 – Definitions
SENECA SPIRITUS LLC is a limited liability company registered in the State of Delaware, United States, under registration number 2562183, with its registered office located at 8 The Green, Suite B, Dover, Kent County, Delaware, United States.
SENECA SPIRITUS LLC operates and provides its services under the commercial name “CS Translation.”
For the purposes of these General Terms and Conditions of Sale, “CS Translation” refers to SENECA SPIRITUS LLC acting through the CS Translation commercial brand and website.
The “Client” is any person with whom CS Translation concludes a Contract for the Services defined in these General Conditions.
A “Consumer Client” is any natural person acting for purposes outside their trade, business, craft, profession, or other commercial activity.
The “General Conditions” refers to these General Terms and Conditions of Sale, which, together with the relevant order confirmation or quotation, constitute the “Contract” governing the relationship between CS Translation and the Client.

The “Services” refer to translation work and other linguistic services offered by CS Translation to the Client under a Contract.

Article 2 – Purpose
These General Conditions govern the sale of the Services defined in Article 1.
The Client waives the right to rely on any document contrary to these General Conditions, which shall be unenforceable against CS Translation unless expressly accepted in writing by CS Translation.
Services may be requested by the Client from CS Translation through the Site, by direct contact, by email, or by any other ordering method made available by CS Translation.
Article 3 – Rates
The prices for the Services are indicated in euros, including all applicable taxes, unless otherwise stated.
In any case, the prices of the Services are expressed excluding processing, bank, delivery, and shipping fees unless expressly indicated otherwise.
CS Translation reserves the right to modify its prices at any time. However, the Service will be invoiced according to the price applicable at the time the order is validated, subject to an order confirmation having been issued and sent to the Client.
For an accelerated or urgent Service, including any delivery request shorter than the indicated delivery period or requiring work on weekends or public holidays, an additional fee may be applied.
Shipping and postal delivery costs are borne by the Client.
Unless otherwise specified, the indicated price includes formatting that is reasonably consistent with the original document.
Standard postal delivery is optional.
Article 4 – Ordering Procedure
The Client may place an order:

Contractual information is presented in English and will be confirmed no later than the validation of the order.
CS Translation reserves the right not to record a payment or confirm an order for any legitimate reason, particularly in the event of difficulties relating to the order, the submitted documents, payment, or an existing dispute with the Client.
Any order for a Service constitutes the Client’s full and unconditional acceptance of these General Conditions and complete adherence to their contractual provisions.
Article 5 – Validation of the Order
Upon receipt of the order, CS Translation examines the documents and information provided by the Client.
Based on the information provided by the Client, CS Translation sends an order confirmation by email, indicating in particular:
-
the volume, number of pages, or number of words submitted for translation;
-
the source and target languages and any applicable regional variant;
-
the pricing method used for the Service;
-
the estimated delivery time;
-
the delivery format;
-
any specific layout requirements;
-
any additional fees resulting from urgency, specialised terminology, specific research, complex formatting, poor document quality, or another specific request from the Client.
The price of the Service may be calculated on a flat-rate, hourly, per-word, per-line, per-page, or other agreed basis.
The word count may be based on the number of source words, meaning the words contained in the original text, or target words, meaning the words contained in the translated text, according to the count generated by the software used by CS Translation.
Unless otherwise agreed, the translation will be delivered in PDF format.
If the Client’s order does not correspond to the selected Service, CS Translation will attempt to send the Client an alternative proposal corresponding to the actual translation project.
In such a case, CS Translation may send an updated order confirmation and a payment request corresponding to the difference between the amount already paid and the actual price of the requested Service.
For specific orders requiring a prior quotation, the Contract will be considered final only after:
-
the quotation has been issued by CS Translation;
-
the quotation has been accepted by the Client;
-
any required payment has been made; and
-
CS Translation has confirmed its acceptance of the order in writing by email or postal mail.
To confirm an order based on a quotation:
-
a business Client may be required to return the signed quotation to CS Translation by email or postal mail, expressly indicating “Approved,” unless otherwise stated; or
-
a Consumer Client may confirm the order by paying the amount indicated in the quotation.
If the quotation is not accepted within one month of being sent, it will be considered expired.
If the quotation is not accepted within seventy-two hours of receipt, CS Translation reserves the right to modify the estimated delivery time depending on its workload and availability.
All information provided by the Client and all electronic records, confirmations, communications, and payment records may constitute evidence of the nature, content, and conditions of the transaction.
The Client becomes committed to paying the full amount of the order once CS Translation has confirmed the order or accepted the quotation in writing.
CS Translation reserves the right not to accept an order from a Client with whom there is an existing dispute, particularly concerning payment.
Article 6 – Payment
Confirmation of the order by CS Translation creates an obligation for the Client to pay the indicated price.
Unless otherwise agreed in writing, the full price is payable by the Consumer Client on the date the order is placed, without discount or deduction.
Where payment by credit card is available, payment is made through the secure payment system displayed during checkout.
The Client’s payment card may be charged when the order is confirmed.
In the case of a payment made from abroad, exchange fees, bank charges, payment processing fees, taxes, or any other related costs may result in either:
-
a flat-rate increase in the price of the Service; or
-
the full amount of the relevant fees being charged to the Client.
The Client is responsible for ensuring that the payment information provided is accurate and that sufficient funds are available.
Unless expressly agreed otherwise, the performance of the Service will begin only after full payment has been successfully received.
Article 7 – Performance of the Service
After final acceptance of the order, CS Translation will inform the Client of the estimated time required to perform the Service.
The performance period begins once CS Translation has received:
-
the complete order;
-
all documents required to perform the Service;
-
all necessary information and clarifications; and
-
full payment of the agreed price.
In the event of late, incomplete, rejected, disputed, or reversed payment, CS Translation may suspend performance of the relevant Service until the agreed price has been paid in full.
Article 8 – Obligations of CS Translation
CS Translation will use reasonable professional care to perform the translation faithfully to the original document and in accordance with generally accepted professional translation standards.
CS Translation accepts no responsibility for inconsistencies, ambiguities, errors, omissions, inaccuracies, or illegible content contained in the original document provided by the Client.
The verification of the accuracy, coherence, completeness, authenticity, and legibility of the source document is the sole responsibility of the Client.
Unless expressly included in the ordered Service, CS Translation is not required to correct errors or omissions contained in the source document, whether or not such errors or omissions may affect the quality or usability of the Service.
In the event of doubt regarding the authenticity, legality, completeness, legibility, or intended use of a document, CS Translation reserves the right to refuse to provide a certified translation.
CS Translation does not provide official academic equivalence, credential evaluation, or conversion of grades or assessment systems from one education system or country to another.
Article 9 – Client’s Obligations
The Client agrees to provide CS Translation with all documents to be translated and all information necessary to understand and perform the requested Service.
This information may include:
-
specific terminology;
-
technical documentation;
-
reference documents;
-
the requirements of the authority or organisation receiving the translation;
-
specific formatting instructions;
-
the intended use of the translation; and
-
a typed transcription where the original document contains handwritten or illegible content.
The Client agrees to provide the most complete and accurate information possible when placing an order and to cooperate in good faith with CS Translation.
If the Client fails to provide sufficient, complete, accurate, or timely information, CS Translation cannot be held responsible for any resulting error, non-compliance, refusal, or delay.
The Client represents and warrants that:
-
the Client owns, controls, or is legally authorised to use and submit the source documents and all other materials provided for the Service;
-
the translation, reproduction, publication, distribution, sale, submission, or other use of the source documents and completed Service does not infringe any copyright, trademark, patent, confidentiality obligation, privacy right, image right, or other third-party right;
-
the source documents and materials do not contain unlawful, fraudulent, defamatory, threatening, offensive, obscene, violent, racist, xenophobic, or otherwise prohibited content;
-
the requested Service will not be used for an unlawful or fraudulent purpose; and
-
the documents and information submitted are authentic and have not been altered for fraudulent purposes.
Article 10 – Withdrawal or Cancellation
The Services provided by CS Translation are prepared according to the Client’s documents, specifications, language requirements, intended use, and other personalised instructions.
Where permitted by applicable law, a statutory right of withdrawal may not apply to Services prepared according to the Consumer Client’s specifications or which are clearly personalised.
When placing an order, the Consumer Client may therefore be required to confirm the following statement:
“I have read and accepted the General Terms and Conditions of Sale without reservation. I expressly request that performance of the personalised Service begin before the expiry of any applicable withdrawal period, and I acknowledge that I may lose my right of withdrawal once the Service has been fully performed.”
Nothing in these General Conditions excludes or limits any mandatory withdrawal or cancellation right that cannot lawfully be excluded under the legislation applicable to the Consumer Client.
Article 11 – Modification of an Order
Any request to modify a Service that is already in progress, for any reason, must be submitted to CS Translation in writing.
CS Translation may accept or refuse the requested modification depending on:

the progress of the Service;
-
the nature and extent of the requested modification;
-
translator availability;
-
the original delivery time; and
-
any additional work required.
A modification may result in:
-
an additional fee;
-
a revised delivery time;
-
the cancellation and replacement of the initial order; or
-
a partial refund where appropriate.
Where a Client requests cancellation after work has begun, CS Translation reserves the right to retain the portion of the price corresponding to the work already performed and any costs already incurred.
Any refund will be assessed according to the processing stage of the order and any mandatory rights applicable to the Consumer Client.
Article 12 – Delivery
Delivery times are expressed in business days unless otherwise indicated.
For the purposes of these General Conditions, business days generally mean Monday to Friday, excluding applicable public holidays.
The estimated delivery period begins only after CS Translation has received:
-
full payment;
-
all documents required to perform the Service;
-
all necessary information; and
-
any clarifications requested from the Client.
Delivery times are provided for information purposes and may be extended by notifying the Client, particularly in cases involving:
-
complex document formatting;
-
specific or highly technical terminology;
-
illegible, incomplete, or poor-quality source documents;
-
unusually large orders;
-
changes requested by the Client;
-
delays in receiving information or clarification from the Client;
-
translator or certifier availability;
-
payment processing issues; or
-
circumstances beyond the reasonable control of CS Translation.
Failure to meet an estimated delivery time may result in a refund only where the delay is directly attributable to CS Translation and where a refund is required under the Contract or applicable law.
CS Translation will not be liable for direct or indirect loss resulting from a delay caused by:
-
a force majeure event;
-
technical failure;
-
Internet or email disruption;
-
postal or courier delay;
-
payment processing delay;
-
a third-party service provider;
-
an act or omission of the Client; or
-
any other event outside the reasonable control of CS Translation.
Article 13 – Confidentiality
CS Translation will take reasonable measures to preserve the confidentiality of information and documents provided by the Client before, during, and after performance of the Service.
CS Translation may share the Client’s documents and information with translators, revisers, project managers, certifiers, technical providers, payment providers, or other subcontractors where reasonably necessary to perform the Service.
CS Translation will make reasonable efforts to ensure that persons involved in providing the Service comply with appropriate confidentiality obligations.
CS Translation cannot guarantee the absolute security of information transmitted electronically and will not be responsible for the interception, diversion, corruption, or unauthorised access of information during its transmission, particularly over the Internet or by email.
The Client is responsible for informing CS Translation, before or at the time of placing the order, of any specific security or transmission method required for sensitive or confidential information.
Article 14 – Format of the Service
Unless otherwise agreed, the translation is delivered by email in PDF format.
Where another editable or specific delivery format is required, the Client must request it before confirming the order.
For academic transcripts and grade records, CS Translation does not convert grades or provide official equivalence between different grading systems.
Explanatory information about the relevant grading system may be added upon request where appropriate and legally permitted.
Article 15 – Corrections
If the Client disagrees with a specific point in the completed Service, CS Translation may review and, where appropriate, correct the relevant translation in cooperation with the Client.
A correction request must identify the precise passage concerned and explain the alleged error.
Corrections do not include changes resulting solely from personal stylistic preference, a change in the Client’s original instructions, or a change to the source document after the order was confirmed.
Article 16 – Liability
16.1 Exclusion of Liability
CS Translation cannot be held liable for non-compliance with the laws, regulations, administrative requirements, or practices applicable in the country in which the Service is submitted, used, or delivered.
The Client is responsible for verifying with the relevant local authority or recipient organisation whether the ordered Service meets its requirements.
Recognition by United Kingdom and Foreign Authorities
CS Translation will use reasonable efforts to assign the Service to a translator or professional suited to the specific nature of the translation and the requirements communicated by the Client.
The Client must inform CS Translation of the intended recipient of the translation and of any specific requirements imposed by that recipient, including an administration, court, university, employer, immigration authority, or other organisation.
Requirements may vary significantly between authorities, organisations, and countries.
CS Translation cannot guarantee that a translation, including a certified translation, will be accepted by a particular authority or organisation and cannot be held liable for a refusal where the Service was performed according to the information and instructions provided by the Client.
CS Translation cannot be held liable in the event of:
-
failure by the Client to comply with payment conditions or payment deadlines;
-
any fault, error, omission, or delay attributable to the Client or a third party;
-
late, incomplete, inaccurate, or illegible transmission of documents or information required to perform the Service;
-
an error, inconsistency, ambiguity, omission, or defect contained in the source document;
-
an act of a third party;
-
fire, flood, natural disaster, strike, epidemic, war, civil disturbance, transport delay, interruption of communications, or another event beyond the reasonable control of CS Translation;
-
interruption, delay, failure, unauthorised intrusion, computer virus, data loss, or other inconvenience associated with the use of the Internet, email, software, or other electronic systems.
None of these events automatically entitles the Client to cancel the order, refuse delivery of the Service, or receive compensation.
16.2 Limitation of Liability
To the maximum extent permitted by applicable law, CS Translation’s liability in relation to a Service is limited to direct and foreseeable loss only.
CS Translation will not be liable for any indirect, consequential, incidental, special, commercial, or financial loss, including:

loss of opportunity;
-
loss of income;
-
loss of profit;
-
loss of business;
-
loss of contract;
-
loss of reputation;
-
administrative refusal;
-
travel expenses;
-
legal expenses; or
-
penalties imposed by a third party.
For all causes and losses combined, CS Translation’s total liability cannot exceed the amount paid by the Client for the Service giving rise to the claim.
Nothing in these General Conditions excludes or limits liability where such exclusion or limitation is prohibited by applicable law.
Article 17 – Dispute Resolution
17.1 Claims

The complaint or correction request must be submitted within seven days following receipt of the Service by email.
After this period, no complaint may be accepted, subject to any mandatory rights that cannot be limited under applicable law, and the Service will be considered duly performed.
The complaint must:
-
clearly identify the relevant order;
-
identify the precise passages or issues concerned;
-
explain the alleged error or non-compliance; and
-
provide all information reasonably necessary for CS Translation to assess the request.
CS Translation is not required to accept complaints based exclusively on personal preferences regarding style or layout where the translation is accurate and complies with the agreed instructions.
If the above conditions are not met, the complaint may not be processed.
Where the conditions are met, CS Translation will attempt to respond within thirty days of receiving the complete complaint.
17.2 Consumer Dispute Resolution
The Consumer Client must first submit a written complaint to CS Translation in accordance with Article 17.1.
Where mandatory consumer dispute resolution, mediation, or alternative dispute resolution procedures apply to the Consumer Client, the Consumer Client may use the competent procedure or organisation applicable in their country of residence.
Nothing in this Article prevents a Consumer Client from exercising any mandatory right or remedy available under applicable consumer protection legislation.
17.3 Governing Law and Jurisdiction
These General Conditions and any contractual or non-contractual dispute arising from or relating to them are governed by the laws of the State of Delaware, United States, without regard to conflict-of-law principles.
Subject to any mandatory consumer protection rules or jurisdictional rights that cannot lawfully be excluded, any dispute arising from or relating to the interpretation, performance, validity, or termination of these General Conditions falls within the jurisdiction of the competent courts of the State of Delaware.
Article 18 – Intellectual Property
All elements of the Site accessible at https://cs-translation.co.uk/, including its texts, graphics, logos, visual elements, audio elements, software, structure, databases, and content, are and remain the exclusive property of CS Translation or its licensors.
No person is authorised to reproduce, exploit, distribute, modify, publish, transmit, or use, in whole or in part, any element of the Site without the prior express written permission of CS Translation.
Any unauthorised reproduction or use may constitute an infringement of applicable intellectual property rights.
The creation of a simple or hypertext link to the Site may require the prior express written consent of CS Translation.
Article 19 – Personal Data
Personal data collected in connection with the Contract is processed by SENECA SPIRITUS LLC, operating under the commercial name CS Translation, for the purposes of:

processing and managing orders;

performing and delivering the Services;

communicating with Clients;
-
processing payments;
-
handling complaints and correction requests;
-
preventing fraud;
-
complying with legal and accounting obligations; and
-
improving the Site and Services.
Personal data may be shared with translators, revisers, certifiers, payment providers, hosting providers, technical service providers, professional advisers, or other subcontractors where reasonably necessary to perform the Service or comply with legal obligations.
The Client may have rights relating to their personal data under applicable data protection legislation, including rights of access, correction, deletion, restriction, objection, or portability.
To exercise an applicable data protection right, the Client may send a written request to:

Article 20 – Archiving and Evidence
CS Translation may archive purchase orders, quotations, order confirmations, communications, payment records, and invoices using a reliable and durable electronic or physical medium.
Unless a different period is required by applicable law, records relating to an order may be retained for a period of ten years beginning from the performance or completion of the Service.
Electronic records maintained by CS Translation may be considered evidence of communications, orders, confirmations, payments, deliveries, and transactions between the parties, subject to applicable rules of evidence.
